ONE.- PARTIES: The following appear to execute this instrument: on the one part, Mr. MILTON RODOLFO BOJORQUE CAMPOVERDE, an Ecuadorian citizen holding national identity card (cédula) No. 0103104642, in his capacity as Legal Representative of the company CC&P S.A.S., taxpayer No. (RUC) 0195094179001, hereinafter referred to as "THE SELLING PARTY"; and, on the other part, , , holder of No. , hereinafter referred to as "THE PURCHASING PARTY". The parties are of legal age, legally capable and act in their own right.

TWO.- BACKGROUND AND PURPOSE: THE SELLING PARTY owns real property located in the urban area of the Bellavista parish, canton of Cuenca, province of Azuay, on which it is developing the real estate project known as SUITES SPOT. By this agreement, THE PURCHASING PARTY reserves the following unit(s): Unit type: ; Unit number(s): ; Floor/Level: ; Approximate area: .

The areas stated are approximate and subject to final approval of the Horizontal Property regime. The total price of the reserved unit(s) is , as detailed in the following clause. THE SELLING PARTY undertakes not to negotiate the described unit(s) with any third party while this reservation is in force.

THREE.- RESERVATION AMOUNT AND PAYMENT TERMS: THE PURCHASING PARTY hereby delivers, as the reservation amount, the sum of , by bank transfer / cheque / cash. That amount shall be credited against the total price upon execution of the promise-to-purchase deed. The agreed total price shall be paid as follows:

Reservation: the sum of paid upon execution of this reservation.
Down payment (at the promise-to-purchase deed): the sum of payable on the day the promise-to-purchase deed is executed.
Instalments during construction: the sum of shall be paid in
Balance (handover / final deed): the sum of payable on the day of physical handover of the unit or of execution of the public deed of sale, whichever occurs first.

The parties undertake to execute the public promise-to-purchase deed within a maximum term of days from the signing of this agreement, at which time they shall settle the remaining specific terms of the sale.

FOUR.- BREACH: Should THE PURCHASING PARTY withdraw from this agreement or fail to execute the promise-to-purchase deed within the agreed term, THE SELLING PARTY shall retain the full reservation amount delivered, as a penalty clause, without need of judicial declaration or prior demand. Should THE SELLING PARTY withdraw or fail to comply with its obligation to execute the promise-to-purchase deed within the agreed term, it shall return to THE PURCHASING PARTY the reservation amount received, within a maximum term of days from the date on which the breach occurs. The parties acknowledge that the penalties set out in this clause constitute a penalty clause under article 1551 of the Ecuadorian Civil Code, and that their enforcement does not require proof of loss. Acceptance of the penalty by the injured party does not entail waiver of any claim for additional damages exceeding the agreed penalty.

FIVE.- TERM OF THE RESERVATION: This reservation shall remain in force for days from the date this document is signed. Within that term, the parties undertake to execute the promise-to-purchase deed. If the term expires without the promise-to-purchase deed having been executed for reasons attributable to THE PURCHASING PARTY, THE SELLING PARTY may terminate the reservation and retain the amount delivered pursuant to clause FOUR. If the failure to execute is attributable to THE SELLING PARTY, the penalty established therein shall likewise apply. In duly evidenced cases of force majeure or fortuitous event, the parties may agree in writing to extend the term, without any penalty arising.

SIX.- NOTICES: For all purposes of notice, the parties designate the following addresses and information as valid.

SEVEN.- GENERAL PROVISIONS: For the purposes of the agreement contained in this document, the parties designate the city of Cuenca as their domicile, waiving their own venue and submitting to the courts exercising jurisdiction there. This instrument is private in nature and creates civil obligations under articles 1454, 1551 and 1562 of the Ecuadorian Civil Code and under the General Organic Code of Procedure (COGEP) as regards its enforceability. The parties agree that any dispute shall be heard before the competent courts of the city of Cuenca, notice being valid by any of the means designated in clause SIX.

EIGHT.- ACCEPTANCE: The parties declare that they know and fully accept the content of the foregoing clauses and record the delivery of the agreed reservation amount. Each party receives one counterpart of this agreement. In witness whereof, they sign this agreement in two (2) counterparts of identical content and value, in the city of Cuenca, .
